These terms cover the Crowe Talon Pro Mac app, the crowetalon.com marketing site, the verifier (CLI and packaged), and the Studio license when it goes on sale. They are written to be readable. The legal force is the same as if they were written in 8-point Times.

1. Agreement

By installing the Mac app, running the verifier, or using the marketing site, you agree to these terms. If you are using Crowe Talon Pro on behalf of an organization, you represent that you can bind that organization. The contracting entity is Crowe Logic, Inc., an Arizona corporation.

2. Listener tier (free)

The Listener tier includes the Mac app verifier, the open-source command-line verifier, the published spec, and the bundled Substrate demo clips. It is free for personal and commercial use. You can verify any file you have the right to verify. You cannot redistribute a modified version of the verifier under the Crowe Talon Pro name.

3. Studio tier (waitlist, paid at launch)

Studio adds the composition pipeline, signing, and the Live bridge. Pricing at launch is USD 97 per month per seat, subject to change for future renewal periods with at least 30 days notice. Studio is sold as a license to one person; do not share a Studio key across multiple humans. We may revoke a Studio key that is being shared.

4. Beta software

Crowe Talon Pro 0.1.0 is a developer beta. It may crash. It may change. It may sign a file today and refuse to sign it tomorrow as the pipeline evolves. The Compose tab requires Node 18+ already on PATH because v0.1.0 has no hermetic runtime. Do not use the beta for production signing of work you cannot resign later. We will not be liable for damages arising from beta software beyond the amount you paid for the affected period (which for Listener is zero).

5. Acceptable use

Do not use Crowe Talon Pro to forge provenance, attach a Crowe Talon signature to a file you did not produce, falsely claim authorship of a third-party work, or break the law. Do not use the Mac app or the verifier to attack other systems. We can revoke a Studio license that violates this section without prior notice; we will explain why on request.

6. Your content

You keep ownership of your audio, your seeds, your manifests, and the output files you sign. Crowe Talon Pro does not transmit your content to us. We do not train models on your content. We do not see your seeds.

7. Our content

Crowe Logic, the Crowe Talon Pro mark, the Substrate album sources, and the Mac app binary are ours. The packages under packages/* in the open-source repository are licensed under the engine license described in LICENSE-ENGINE.md. Everything else, including the Substrate album sources, defaults to LICENSE-ALBUM.md (all rights reserved). The Studio license is a license, not a sale; you cannot resell, white-label, sublicense, or reverse engineer it without a written agreement.

8. The signature is not magic

The Crowe Talon Pro signature is acoustic, not cryptographic. A determined adversary with enough modeling effort can attempt to replicate the watermark without the seed. Phase 2 (described in the whitepaper, section 7) raises forgery cost from "modeling effort" to "cryptographic hardness". Until Phase 2 ships, treat the signature as strong evidence of provenance, not as a cryptographic proof.

9. Warranty disclaimer

Crowe Talon Pro is provided as is. We do not promise it will be uninterrupted, error-free, or fit for a particular purpose. We disclaim all implied warranties to the maximum extent allowed by law.

10. Limitation of liability

Our total liability to you for any claim arising out of these terms is limited to the amount you paid us in the 12 months before the claim, or USD 100, whichever is greater. We are not liable for indirect, incidental, consequential, or special damages, lost profits, or lost data, even if we knew the damage was possible.

11. Indemnification

If a third party brings a claim against us because of how you used Crowe Talon Pro (including violating these terms or someone else's rights), you will defend us and pay any settlements or damages awarded.

12. Termination

You can stop using Crowe Talon Pro at any time. We can suspend or terminate your Studio license if you violate these terms or if we are required to by law. After termination, sections that should survive (ownership, warranty disclaimer, limitation of liability, indemnification, governing law) keep applying.

13. Governing law and venue

These terms are governed by the laws of the State of Arizona, without regard to its conflict of laws rules. The state and federal courts located in Maricopa County, Arizona, have exclusive jurisdiction over any dispute that is not subject to arbitration.

14. Changes

If we change these terms in a way that affects you, we will update the effective date at the top of this page and email anyone with an active Studio license at least 14 days before the change takes effect. Continued use after the effective date means you accept the new terms.
